These Terms of Service ("Terms") govern your use of BuildGrade, operated by GradeSpace Ltd ("Company", "we", "us") at trybuildgrade.com. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and capable of forming a binding contract under English law. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation.
2. Description of the Service
BuildGrade provides AI-assisted project planning for software development: AI-generated blueprints, delivery phases, effort estimates, cost quotes, and client-facing quote portals. Features may change at any time; we will give reasonable notice of significant changes.
3. Account registration
You must provide accurate, current, and complete information when registering. You are responsible for the confidentiality of your password and all activity under your account. Notify us immediately at hello@trybuildgrade.com if you suspect unauthorised access.
4. Plans and billing
Free plan
Free accounts may create up to 3 projects at no charge, with access to core AI blueprint and estimation features.
Pro plan
The Pro plan costs £29 per month (excluding VAT), billed monthly in advance via Stripe. Pro includes unlimited projects and all Pro features. You may cancel at any time; access continues until the end of the current billing period.
Price changes
We will give at least 30 days' notice by email before any price increase affects existing subscribers. Continued use after the new price takes effect constitutes acceptance.
Refunds
Payments are non-refundable except as required by applicable law. Billing errors should be reported within 14 days to hello@trybuildgrade.com.
Taxes
Prices exclude VAT. Where applicable, VAT is added at checkout based on your billing address.
5. Acceptable use
You agree not to:
- Use the Service to generate or distribute illegal, harmful, defamatory, or abusive content.
- Attempt to reverse-engineer, decompile, or extract our AI models or proprietary algorithms.
- Scrape or systematically extract data from the Service by automated means without written permission.
- Resell, sublicense, or white-label the Service without a separate written agreement.
- Upload malware, viruses, or code designed to damage or interfere with the Service.
- Impersonate another person or organisation.
- Violate any applicable local, national, or international law or regulation.
We may suspend or terminate accounts in breach of this section without notice.
6. AI-generated content disclaimer
Blueprints, delivery plans, effort estimates, cost ranges, and all other AI outputs are generated automatically and provided for planning and reference purposes only. They do not constitute professional engineering, software architecture, legal, financial, or business advice.
AI outputs may contain errors, omissions, or outdated information. You are solely responsible for validating outputs with qualified professionals before making business, technical, or financial decisions. GradeSpace Ltd accepts no liability for reliance on AI-generated content.
7. Intellectual property
Your content
You retain full ownership of all content you create using the Service (project descriptions, blueprints, estimates, quotes). You grant GradeSpace Ltd a limited, non-exclusive licence to host, store, and process your content solely to provide the Service to you.
Our intellectual property
GradeSpace Ltd owns all rights in the BuildGrade platform, software, AI systems, brand, and infrastructure. These Terms do not transfer any of our intellectual property to you.
8. Privacy
Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference.
9. Third-party services
The Service integrates with Stripe (payments) and OpenAI (AI generation). Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party providers' acts or omissions.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
To the maximum extent permitted by law, GradeSpace Ltd and its officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service.
Our total aggregate liability for any claims arising from these Terms shall not exceed the greater of £100 or the amount you paid us in the 3 months before the claim.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by English law.
12. Indemnification
You agree to indemnify GradeSpace Ltd from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your content, or your violation of any third-party rights.
13. Termination
You may close your account at any time via account settings. We may suspend or terminate your account for material breach of these Terms, non-payment, or conduct harmful to us, other users, or third parties.
On termination, your right to use the Service ends immediately. Personal data will be deleted within 30 days, subject to legal retention obligations. Sections 6, 7, 10, 11, 12, and 15 survive termination.
14. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before formal proceedings, contact us at hello@trybuildgrade.com to seek informal resolution. We aim to respond within 10 business days.
15. General
- Entire agreement: These Terms together with our Privacy Policy and Cookie Policy are the entire agreement between you and GradeSpace Ltd regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Our failure to enforce any provision is not a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in a merger or acquisition.
- Changes: We may modify these Terms at any time. Material changes will be notified by email at least 14 days before taking effect. Continued use constitutes acceptance.
